TERMS AND CONDITIONS
1. Applicability.
- These terms and conditions for services and attached exhibit(s) (these " Terms ") are the only terms that govern the provision of services by the Company to the Client.
- The accompanying Proposal and these Terms (collectively, this " Agreement ") comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. In the event of any conflict between these Terms and the Order Form, these Terms shall govern.
- These Terms prevail over any of Client's general terms and conditions regardless whether or when Client has submitted its request for proposal, order, or such terms. Provision of services to Client does not constitute acceptance of any of Client's terms and conditions and does not serve to modify or amend these Terms.
2. Services.
The Company shall provide the Services to Client in accordance with these Terms. The Company may, in its sole discretion, designate the employees or contractors to perform the Services, as applicable.
3. Client's Obligations.
Client shall:
- cooperate with the Company in all matters relating to the Services and provide such access to Client's premises, and such office accommodation and other facilities as may reasonably be requested by the Company, for the purposes of performing the Services;
- respond promptly to any Company request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for the Company to perform Services in accordance with the requirements of this Agreement; and
- provide such Client materials or information as the Company may reasonably request to carry out the Services in a timely manner and ensure that such Client materials or information are complete and accurate in all material respects.
4. Client's Acts or Omissions.
If the Company's performance of its obligations under this Agreement is prevented or delayed by any act or omission of Client or its agents, subcontractors, consultants or employees, the Company shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges or losses sustained or incurred by Client, in each case, to the extent arising directly or indirectly from such prevention or delay.
5. Change Orders.
- If either party wishes to change the scope or performance of the Services, it shall submit details of the requested change to the other party in writing. The Company shall, within a reasonable time after such request, provide a
- Written estimate to Client of (i) any necessary variations to the fees and other charges for the Services arising from the
- change; (ii) the likely effect of the change on the Services; and (iii) any other impact the change might have on the performance of this Agreement.
- Promptly after receipt of the written estimate, the parties shall negotiate and agree in writing on the terms of such change (a " Change Order "). Neither party shall be bound by any Change Order unless mutually agreed upon in writing. Any change to the scope or performance of the Services shall be in accordance with these terms and conditions.
- The Company may charge for the time it spends assessing and documenting a change request from Client on a time and materials basis in accordance with the Order Form.
6. Services Fees and Expenses.
- In consideration of the provision of the Services by the Company and the rights granted to Client under this Agreement, Client shall pay to the Company the fees set forth in the Order Form. The Client also will reimburse the Company for all reasonable travel and out-of-pocket expenses incurred by the Company in connection with the Services where those expenses have been previously approved.
- Client shall pay all invoiced amounts due to the Company on receipt of the Company's invoice. Client shall make all payments hereunder in US dollars by cheque or electronic funds transfer to the account specified by the Company. Invoices will be deemed defaulted if they remain unpaid thirty (30) days after delivery. Interest of twelve percent (12%) per annum may be applied to overdue accounts.
7. Taxes.
Client shall be responsible for all harmonized sales tax (HST), provincial sales tax (PST), goods and services tax (GST), value added tax, use and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, provincial, territorial, or local governmental entity on any amounts payable by Client hereunder.
8. Term.
This Agreement shall commence as of the Effective Date and shall continue thereafter until the completion of the Services unless sooner terminated pursuant to Section 14 (the “Term”).
9. Rescheduling.
Client may reschedule a scheduled Service without additional charges and shall receive a credit from the Company equal in value to the scheduled Service that may be applied towards any Service offered by the Company provided that Client provides the Company seven (7) days’ notice. The Company may invoice Client for additional charges or costs incurred due to untimely cancellation or failure to attend any scheduled Service.
10. Intellectual Property.
All intellectual property rights, including copyrights, patents, patent disclosures, and inventions (whether patentable or not), trademarks, service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names and domain names, together with all of the goodwill associated therewith, derivative works, and all other rights (collectively, " Intellectual Property Rights ") in and to all documents, work product, and other materials that are delivered to Client under this Agreement or
